01In short

What is a UGC contract?

A UGC contract is the written agreement between a brand and a UGC creator. It states the deliverables, the price per video, the deadline, how many revisions are allowed, and where the brand may use the video. A clear UGC agreement protects both sides before any work starts.

Octoclip is
A marketplace where every hire comes with a contract both sides accept, and payment is secured before work starts.
Octoclip is not
A law firm. This guide explains the clauses and is not legal advice.

02The guide

The clauses of a UGC contract template.

Eight clauses to cover. Every Octoclip hire includes the first seven; the last applies to monthly retainers only.

  1. Parties and deliverables

Who hires whom, for which job, and how many videos. If a video has its own angle, name it, or leave it to the creator within the brief. State whether the creator only sends files or also publishes on their own account.

  2. Price and funding

The price per approved video and the total. Payment should never depend on views or results, and work should start only after the creator accepts and the payment is secured.

  3. Dates

A single deadline for all videos. If the creator publishes on their account, state how long the post stays live.

  4. Review and revisions

How many days the brand has to review, what happens if it does not answer, how many revisions are allowed and for what reason, such as a missed brief point or angle. Rejection should need an objective reason, never low views or a change of mind.

  5. Usage rights

Where the brand may use the video, for how long, in which countries, and whether it can edit it and run it as an ad. On Octoclip the brand may use approved content on its own channels and in paid ads, including Spark Ads and partnership ads, worldwide with no end date.

  6. Image and voice, exclusivity and resale

Say whether the creator’s image and voice are included, that the rights are not exclusive, and that the brand may not resell the video to third parties.

  7. Refunds and disputes

What happens to payment for videos that are not approved or not delivered, and how disagreements are resolved. See UGC rates for how the price is set.

  8. Monthly retainer renewal

For a monthly retainer, where a creator makes videos every month: how many videos a month and at what price, the renewal day, when each month’s videos are due, and how either side stops. On Octoclip each month is paid and secured before the creator starts, and either side can stop at any time.

03Two ways to work

Creator posts or UGC videos: which do you need?

Each job is one type. You set the price per video, and creators see it before they apply.

Creator post

Job type

The creator publishes on their own TikTok, Instagram or YouTube, to their own audience. You get the live post to repost and run as an ad.

UGC video

04How it works

How the contract works on Octoclip.

You never write it. It is built from your job and accepted by both sides.

  1. 01Free

    Post a job

Type, price per video, volume, deadline and the brief, with the must-include points every video is checked against.

  2. 02Free

    Review applicants

Creators apply with a note. You see their profile, connected account and record on Octoclip.

  3. 03Free

    Send offers

The contract is generated from your job’s terms. Hire one creator or twenty from the same brief.

  4. 04

    Hire and approve

When a creator accepts, you pay and they start. You approve every video before the creator is paid.

07Avoid these

Four mistakes in UGC contracts.

  • Vague usage rights

“You can use it” does not say where, for how long or whether it can run as an ad. Spell it out before filming.

  • No limit on revisions

Unlimited revisions are unfair to the creator and open-ended for you. State how many are allowed and for what.

  • Tying payment to views

Views depend on the algorithm. Agree a fixed price per approved video.

  • Agreeing by message

A chat is easy to lose and hard to enforce. A contract both sides accept in one place is the record. More in what is UGC.

Talk to us
What should a UGC contract include?

The parties and deliverables, the price per approved video and total, the deadline, the review and revision rules, the usage rights (where, how long, which countries, edits and ads), image and voice, exclusivity and resale, and how refunds and disputes work.

Is there a free UGC contract template?

The clause list on this page is a template you can follow. On Octoclip you do not need to write one: the contract is built from your job’s price, dates and brief, and both sides accept it before work starts.

What are UGC usage rights?

Yes. The contract both sides accept lets you use approved content in paid ads, including Spark Ads and partnership ads. Ask for the ad code or approval in your brief so the creator knows before they apply.

How long can a brand use UGC content?

That is for the contract to say. On Octoclip, once a video is approved the brand may use it worldwide with no end date, on its own channels and in paid ads, including the creator’s image and voice.

Does the creator keep any rights?

The rights are not exclusive, so the creator keeps the right to use their own work, and the brand may not resell the video to third parties.

How many revisions does a UGC contract allow?

You can ask for one revision per video, pointing to the must-include point it missed. The creator has 3 days to resubmit. If you don’t review a video within 5 days, it is approved.

When is the creator paid?

Their payment is secured when they accept, before any work starts, and released for each video you approve.

How much does it cost?

Posting a job, reviewing applicants and sending offers are free. You set a fixed price per video and pay only when a creator accepts your offer. The full amount is shown before you send the offer.

Is this legal advice?

No. This page explains what a UGC agreement covers. For advice on your own situation, ask a lawyer.

Does a contract promise results?

No. Octoclip does not sell or guarantee downloads, installs or views. You pay a fixed price for each approved video.
